These Terms of Service (“Terms”) govern your access to and use of the website, content, reports, documents, products, and online services made available by Outfit Partners Inc., 97 N 10th St #2A, Brooklyn, NY 11249 (“Outfit,” “we,” “us,” or “our”) through outfitlive.com and related domains (collectively, the “Site”) and any services we provide, including Outfit Payments (collectively, the “Services”). Please read these Terms carefully.
1) Acceptance of the Agreement
By accessing or using the Site or Services, you agree to be bound by these Terms and any policies referenced herein (the “Agreement”). If you are accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity; references to “you” and “your” include that entity and its affiliates. If you do not agree, do not access or use the Site or Services.
2) Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms on the Site and, for active customers, send an email summarizing material changes with a link to the updated Terms. The “Effective” date above reflects the latest version. Your continued use of the Services after the effective date constitutes acceptance of the changes.
3) Right to Use; Payments
3.1 License.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-assignable license to access and use the Site and Services for your internal business purposes. Usage restrictions are described in Section 9 (Restrictions) and control over any conflicting language. Some features (including Outfit Payments) require activation by Outfit and/or a separate plan.
4) Availability; Modifications; Support
4.1 Changes.
We may add, change, suspend, or discontinue any part of the Services at any time.
4.2 Uptime.
We will use commercially reasonable efforts to make the Services available 24/7, excluding (a) planned maintenance (for which we will use reasonable efforts to provide at least 48 hours’ electronic notice, e.g., in-app banner) and (b) downtime caused by events beyond our reasonable control.
4.3 Support.
We provide reasonable technical support in line with our standard practices and aim to respond to support requests that block access to the Services within 48 business hours.
4.4 Suspension.
We may suspend or disable access for non-payment, suspected fraud, security risk, or material breach. Suspension may result in loss of access to data stored in the Services (see Section 11).
4.5 One Account Rule.
Each natural person may maintain only one Outfit account unless expressly permitted in writing.
5) Registration; Security
You agree to provide accurate, current information during signup and to keep it updated. You are responsible for safeguarding any credentials issued to you and for all activities under them. Notify us immediately at hello@outfitlive.com of any unauthorized use or suspected breach.
6) Privacy; Roles Under Data Protection Laws
6.1 Independent Controllers (Creator Data).
For personal data we obtain from third-party sources and make available through the Services (e.g., creator discovery data) (“Creator Data”), you and Outfit act as independent controllers. We do not jointly determine the purposes and means of processing.
6.2 Your Data; Processor Terms.
For personal data you provide to Outfit through use of the Services (“Your Data”), you act as a controller and Outfit acts as your processor to the extent applicable under laws such as the GDPR/UK GDPR. We will process Your Data solely to provide the Services and per your documented instructions in this Agreement.
6.3 Lawful Use.
You will collect and use Creator Data and Your Data lawfully and fairly, obtain all required consents or other legal bases, and respect data subjects’ reasonable expectations of privacy.
6.4 Misuse.
We may terminate or suspend access for unlawful, unethical, or abusive processing.
7) Paid Services; Billing
7.1 Charged Features.
Certain features (including Outfit Payments) require payment (“Charged Services”). Fees are in USD unless stated otherwise.
7.2 Plans & Renewals.
Subscriptions may be billed monthly or quarterly/annually as selected. Auto-renewal applies unless you cancel in-product before the end of the current monthly term, or at least 60 days before the end of an annual term.
7.3 Billing Terms.
You authorize us to charge your payment method for all fees when due. Prepaid fees are non-refundable (including partial periods, downgrades, unused features, or outages beyond our control). Non-payment may result in suspension or termination; you remain liable for unpaid amounts.
7.4 Regional Availability.
Outfit Payments may be available only in certain countries and currencies. See the Site for the current list before initiating transactions.
8) Content & Data Use
8.1 Informational Use Only.
Data made available via the Services is provided for informational purposes. We do not warrant completeness, timeliness, or accuracy. You may not use the Services or data for purposes governed by the FCRA (e.g., credit, insurance, employment eligibility).
8.2 Third-Party Dependence.
Availability of certain data depends on third-party sites/platforms and may be interrupted or restricted without notice.
8.3 Your Responsibility.
You assume all risks from your use of the Services and any reliance on outputs, reports, or analytics.
8.4 Potentially Offensive Content.
You may encounter content you find objectionable; we are not liable for such content.
8.5 Attribution.
Where we designate data as sourced by Outfit, you will display “Powered by Outfit” and link to our Site when such data is shown publicly online.
8.6 Service Improvement.
We may process system usage and operational telemetry to secure, monitor, and improve the Services. You authorize us to aggregate and/or anonymize Your Data, during and after the term, and to use such aggregated or anonymized data for any purpose.
9) Restrictions
You agree not to:
- exceed the usage scope of your plan;
- access Charged Services without paying applicable fees;
- modify, reroute, or otherwise interfere with the Services;
- reproduce, broadcast, or distribute the Services except as permitted here;
- resell or syndicate data to third parties without our written consent;
- reverse engineer or attempt to derive source code;
- use the Services in a manner that harms Outfit, our users, or suppliers;
- overload or disrupt the Site or others’ use of it;
- use our names, marks, or hidden tags without prior written consent;
- frame or mirror the Site without consent;
- stalk, harass, or abuse individuals;
- provide false or misleading information;
- infringe others’ intellectual property or privacy rights;
- gain unauthorized access to systems or accounts;
- impersonate Outfit or use Outfit contact information as a pseudonymous return address;
- create or maintain multiple accounts for abusive or duplicative purposes.

15) Governing Law; Dispute Resolution
15.1 Governing Law.
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles.
15.2 Venue.
The parties will first attempt to resolve disputes informally in good faith. If unresolved, the parties consent to the exclusive jurisdiction and venue of state and federal courts located in New York County, New York.
